1. General

1.1 Scope

These Terms of Use ("Terms") govern your access to and use of all services provided by Satori Studios ("Luvia," "we," "us," or "our"), including our mobile application, website, and any associated content or services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1.2 Legal Agreement

These Terms constitute a legally binding agreement between you and Luvia. You must accept these Terms to access the Services, whether free or paid. If you do not agree to these Terms, you must not access or use the Services.

1.3 Privacy Policy

Our Privacy Policy is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

1.4 Modifications to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on our platform and, where appropriate, notified to you via email or in-app notification. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

1.5 Changes to Services

Luvia may modify, suspend, or discontinue any part of the Services at its discretion, without liability. Where feasible, we will provide reasonable notice of material changes.

2. Definitions

For the purposes of these Terms:

• "Luvia," "Company," "we," "us," or "our" refers to Satori Studios, its officers, directors, employees, affiliates, agents, and licensors.
• "User," "you," or "your" refers to any individual or entity accessing or using the Services.
• "Content" refers to all audio, text, images, video, music, software, documentation, and other materials available through the Services.
• "App Distributor" refers to the application distribution platforms through which the App is made available (e.g., Apple App Store, Google Play Store).
• "Intellectual Property Rights" includes copyrights, patents, trademarks, trade secrets, and all other proprietary rights.

3. User Eligibility & Business Use

3.1 Consumer and Business Users

To use our Services as a consumer, you must be at least 18 years of age or have the consent of a parent or legal guardian. Business users must confirm they have authority to bind their organisation to these Terms.

3.2 Compliance with Local Laws

You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations in your jurisdiction.

4. Accounts & Registration

4.1 Account Creation

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep your login credentials secure. You are responsible for all activity that occurs under your account.

4.2 Business Accounts

If you register on behalf of a business, you warrant that you are authorised to bind that entity to these Terms. The organisation is legally and financially responsible for all activity on the account.

4.3 Third-Party Login

You may choose to log in via a third-party service (e.g., Facebook, Apple). By doing so, you grant Luvia access to certain personal information stored by those platforms, in accordance with their respective privacy policies.

5. Subscriptions & Payment

5.1 Subscription Types

Luvia offers the following subscription options:

• Monthly — auto-renewing on a monthly basis
• Annual — auto-renewing on an annual basis
• Lifetime — one-time payment for ongoing access
• Business Plans — customised plans for professional and commercial use

5.2 Free Trials

Free trial eligibility is determined by Luvia at its discretion. Unless you cancel at least 24 hours before the trial period ends, your subscription will automatically convert to a paid plan and you will be charged accordingly.

5.3 Payment Processing

Payments are processed through the relevant App Distributor (Apple App Store, Google Play) or third-party payment processors (e.g., Stripe). Luvia does not store your payment or credit card details directly.

5.4 Renewals & Cancellations

Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period. Upon cancellation, you will continue to have access to the Services until the end of your current billing cycle. Refunds are subject to applicable law and the policies of the relevant App Distributor.

5.5 Price Changes

Luvia reserves the right to adjust subscription fees with advance notice. If you do not accept a price change, you must cancel your subscription before the next renewal date.

5.6 Lifetime Subscriptions

A lifetime subscription grants you access to the Services for as long as the Services remain available. Luvia does not guarantee perpetual availability of the Services.

6. License & Ownership

6.1 Limited License

Subject to your compliance with these Terms, Luvia grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business use.

6.2 Intellectual Property

All Intellectual Property Rights in the Services and Content belong to Luvia or its licensors. You acquire no ownership rights beyond the limited license granted in these Terms.

6.3 Prohibited Actions

You agree not to:

• Copy, reproduce, distribute, or create derivative works from any Content or part of the Services without prior written consent.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App or Services.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorised access to any part of the Services, other accounts, or computer systems connected to the Services.

7. User Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services in any way that could damage, disable, overburden, or impair the Services, or interfere with any other party's use of the Services. Any violation may result in immediate termination of your account and access to the Services.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. Luvia makes no warranties, express or implied, regarding the reliability, accuracy, or availability of the Services. To the maximum extent permitted by law, Luvia disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Luvia does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Your use of the Services is at your sole risk.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Luvia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services, including but not limited to loss of data, profits, goodwill, or other intangible losses.

In no event shall Luvia's total liability exceed the amounts paid by you to Luvia in the twelve (12) months preceding the claim.

10. Termination

Luvia may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
